The Project

The Central Bank of Haiti (“Banque de la République d’Haiti” or “BRH”) is inviting private sector companies or consortia of private sector companies to participate into an international tender procedure for the selection of the “Strategic Investor”. The Strategic Investor will enter into a Public-Private-Partnership (the “Transaction” or the “PPP” or the “Project”) with BRH for the provision of telecommunication services currently operated by Les Télécommunications d’Haïti S.A.M. (“TELECO”). TELECO is the incumbent telecom operator in Haiti.

BRH and the Government of the Republic of Haiti (the “Government” or the “GoH”) are committed to ensure the highest standards of transparency and fairness in proceeding with the Transaction, following the examples of past successful transactions such as "La Minoterie d'Haïti" (1997) and "Le Ciment d'Haïti, S.A.M." (1999). In this regard, BRH mandated the Council for the Modernization of State-Owned Enterprises (“CMEP”) - a specialized governmental agency – to act as the Project’s implementation agency. BRH also retained the IFC, the private sector arm of the World Bank Group, to advise on the Transaction. IFC was supported in this assignment by a number of specialized consultants including:

  1. ICEA (Telecom Consultant);
  2. Mazars (International Auditor) / Cabinet Mérové-Pierre (Haitian Auditor);
  3. Gide Loyrette Nouel (International Legal Consultant) / Cabinet Pasquet, Gousse & Associés (Haitian Legal Consultant);
  4. IDEA (Human Resources Consultant).

A new company (“Nouvelle TELECO” or “Company”) will be incorporated and will assume responsibility for the provision of telecommunication services throughout Haiti. The Company will acquire the existing assets of TELECO and be granted a telecom concession (the “Concession”) with associated frequencies which will allow it to provide nationwide telecom services to residential, business and public customers in Haiti. These services include fixed-line telephony, mobile (GSM & 3G) telephony, and wholesale and retail broadband (XDSL, WiMax, fiber optic submarine cables).

The Strategic Investor will be required to:

  1. Acquire a sixty per cent (60%) stake in Nouvelle TELECO through a capital increase intended to finance capital expenditure and the purchase of TELECO’s assets;
  2. Rehabilitate, expand and maintain a nationwide telecom infrastructure in Haiti and provide telecom services in compliance with the terms of the Concession as well as with the Private Investor’s technical offer submitted during the tender procedure.

Potential bidders may be telecom operators or financial investors in consortium with a telecom operator. The selection process will be based on:

  1. The qualification of the bidder in terms of telecom experience and financial strength;
  2. The bidder’s technical offer mainly consisting in a business plan including investment commitments;
  3. The bidder’s financial offer consisting in the value proposed for the acquisition of a 60% stake in the Company.
