The ProjectThe Central Bank of Haiti (“Banque de la République d’Haiti” or “BRH”) is inviting private sector companies or consortia of private sector companies to participate into an international tender procedure for the selection of the “Strategic Investor”. The Strategic Investor will enter into a Public-Private-Partnership (the “Transaction” or the “PPP” or the “Project”) with BRH for the provision of telecommunication services currently operated by Les Télécommunications d’Haïti S.A.M. (“TELECO”). TELECO is the incumbent telecom operator in Haiti. BRH and the Government of the Republic of Haiti (the “Government” or the “GoH”) are committed to ensure the highest standards of transparency and fairness in proceeding with the Transaction, following the examples of past successful transactions such as "La Minoterie d'Haïti" (1997) and "Le Ciment d'Haïti, S.A.M." (1999). In this regard, BRH mandated the Council for the Modernization of State-Owned Enterprises (“CMEP”) - a specialized governmental agency – to act as the Project’s implementation agency. BRH also retained the IFC, the private sector arm of the World Bank Group, to advise on the Transaction. IFC was supported in this assignment by a number of specialized consultants including:
A new company (“Nouvelle TELECO” or “Company”) will be incorporated and will assume responsibility for the provision of telecommunication services throughout Haiti. The Company will acquire the existing assets of TELECO and be granted a telecom concession (the “Concession”) with associated frequencies which will allow it to provide nationwide telecom services to residential, business and public customers in Haiti. These services include fixed-line telephony, mobile (GSM & 3G) telephony, and wholesale and retail broadband (XDSL, WiMax, fiber optic submarine cables). The Strategic Investor will be required to:
